Terms of Use

Beta LogZ Explorer Extension for Visual Studio Code

These Terms of Use ("Terms") apply to the Beta LogZ Explorer Extension (the "Extension") provided by Beta Systems DCI Software AG ("Beta Systems") through the Visual Studio Marketplace.

1. Purpose and Prerequisites

The Extension is an installable plug-in for the Visual Studio Code (VS Code) development environment that enables authorized users to view Beta LogZ job output directly within VS Code.

The Extension forms part of the Beta LogZ Explorer solution and is provided through the Visual Studio Marketplace free of additional charge.

Use of the Extension requires a properly licensed Beta LogZ and the Beta LogZ API under an applicable agreement between Beta Systems and the customer ("Customer Agreement"). The required technical prerequisites and supported Beta LogZ backend versions are specified in the applicable product documentation.

Beta LogZ and the Beta LogZ API are not included with the Extension. Downloading or installing the Extension does not grant any license or other right to use Beta LogZ, the Beta LogZ API or any other Beta Systems product or service.

2. Right to Use

Subject to these Terms and the Customer Agreement, Beta Systems grants the customer and its authorized users a non-exclusive, non-transferable right to install and use the Extension for the customer's internal business purposes in connection with the properly licensed Beta LogZ solution.

The Extension may only be used by persons authorized to use the relevant Beta LogZ solution. The customer is responsible for ensuring that its authorized users comply with these Terms.

No rights are granted except as expressly set out in these Terms or the Customer Agreement.

3. Installation and Compatibility

The Extension is downloaded, installed and configured by the user.

The customer is responsible for meeting the technical prerequisites for use of the Extension.

Beta Systems does not warrant compatibility with Beta LogZ backend versions, third-party software, systems or configurations that are not identified as supported in the applicable product documentation.

4. Support, Updates and Availability

Unless otherwise agreed in the Customer Agreement, provision of the Extension does not create any separate obligation regarding support, service levels, availability or maintenance.

Beta Systems may provide updates or modifications to the Extension and may discontinue its provision, subject to any obligations under the Customer Agreement and mandatory applicable law.

5. Relationship with the Customer Agreement

These Terms govern the use of the Extension and supplement the Customer Agreement.

The Customer Agreement continues to govern the use of Beta LogZ, the Beta LogZ API and any other Beta Systems products or services covered by it. Downloading, installing or using the Extension does not amend or extend the customer's rights to use such products or services.

In the event of a conflict between these Terms and the Customer Agreement, the Customer Agreement shall prevail.

6. Liability

To the extent that the Customer Agreement contains provisions governing Beta Systems' liability that are applicable to the Extension, those provisions shall apply.

Otherwise, Beta Systems shall be liable without limitation in cases of intent and gross negligence, for injury to life, body or health, under the German Product Liability Act (Produkthaftungsgesetz), and to the extent Beta Systems has assumed a guarantee.

In cases of slight negligence, Beta Systems shall only be liable for the breach of a material contractual obligation, i.e. an obligation whose performance is essential for the proper performance of these Terms and on the performance of which the customer may regularly rely. In such cases, liability shall be limited to the damage foreseeable and typical for this type of agreement.

Any further liability of Beta Systems is excluded to the extent permitted by applicable law.

7. Governing Law and Jurisdiction

Unless otherwise agreed in the Customer Agreement, these Terms and the use of the Extension shall be governed by the laws of the Federal Republic of Germany, excluding its conflict-of-law rules and the United Nations Convention on Contracts for the International Sale of Goods (CISG).

Any agreement on jurisdiction contained in the Customer Agreement shall also apply to these Terms. In the absence of such an agreement, the courts at the registered office of Beta Systems shall have exclusive jurisdiction to the extent permitted by applicable law.
